This website (the “Website”) is published in respect of the Global Resilience Innovation Fund SCS SICAV-RAIF (the “Fund”), a reserved alternative investment fund (RAIF) established as an investment company with variable capital (SICAV) in the form of a common limited partnership (société en commandite simple) under the laws of the Grand Duchy of Luxembourg, and managed by ONE Fund Management S.A., an alternative investment fund manager authorised under Chapter 2 of the Luxembourg Law of 12 July 2013 on alternative investment fund managers, as amended (the “AIFM”).

Please read this notice carefully before accessing or relying on any information on the Website.

1. Information purposes only; not an offer. The information on the Website is provided for general information purposes only. It does not constitute, and shall not be construed as, an offer, solicitation, invitation or recommendation to subscribe for, purchase, sell or otherwise transact in any interests, shares or securities of the Fund, nor an offer to provide any investment, advisory or other service, in any jurisdiction. Nothing on the Website is intended for the placement of interests in the Fund.

2. No reliance for investment decisions. No subscription for or investment in the Fund may be made on the basis of the Website. Any subscription may only be made by eligible investors on the basis of, and in accordance with, the Fund’s confidential offering or placement documentation, its limited partnership agreement, its constitutional documents and the related subscription documents (together, the “Offering Documents”). In the event of any inconsistency between the Website and the Offering Documents, the Offering Documents shall prevail in all respects.

3. Eligible investors only. As a RAIF within the meaning of the Luxembourg Law of 23 July 2016, as amended, the Fund is reserved exclusively to well-informed investors as defined in that law, namely institutional investors, professional investors and other investors who have confirmed in writing their status as well-informed investors and who meet the applicable investment or assessment conditions. Moreover, the Fund is available for subscription only in the jurisdictions where it has been duly registered or notified for marketing.

4. Regulatory status. As a reserved alternative investment fund, the Fund is not directly subject to authorisation or ongoing prudential supervision by the Commission de Surveillance du Secteur Financier (CSSF) or any other supervisory authority at the level of the Fund itself. The Fund is supervised indirectly through its AIFM, which is subject to supervision by the CSSF. No supervisory authority has approved or passed upon the merits of an investment in the Fund or the accuracy or adequacy of the Website.

5. Jurisdictional restrictions. The Website and the information it contains are not directed at, and are not intended for access by, any person in any jurisdiction where the publication, availability or use of such information would be contrary to applicable law or regulation, or would subject the Fund or the AIFM to any registration, licensing or notification requirement in that jurisdiction. In particular, the interests in the Fund have not been and will not be registered under the U.S. Securities Act of 1933, and the Fund is not and will not be registered under the U.S. Investment Company Act of 1940. The information on the Website is not directed at any U.S. Person (as defined in Regulation S under the U.S. Securities Act of 1933) and does not constitute an offer of securities in the United States. It is the responsibility of each person accessing the Website to observe all applicable laws and regulations of any relevant jurisdiction.
